PATerminal End User License Agreement (EULA)

1. Agreement and scope
This End User License Agreement (the "EULA") is an agreement between you and the operator of PATerminal (the "Licensor"), reachable at k-saiki@yotsuba-system.co.jp. It applies to PATerminal official binaries, updates, documentation, and PATerminal-authored source code made available in the public repository (collectively, the "Software").
By downloading, installing, copying, building, modifying, or using the Software, you accept this Version 1.0 of the EULA. Sales, subscriptions, cancellation, and refunds are addressed separately in the Terms of Service and Polar checkout terms; data processing is addressed in the Privacy Policy.
2. Ownership and source-available status
PATerminal is proprietary, source-available software and is not open-source software. Except for the limited rights expressly granted below, the Licensor retains all rights, title, and interest in PATerminal-authored code, official binaries, documentation, names, logos, and other materials.
Making source code visible in a public GitHub repository does not grant permission to redistribute, sell, sublicense, host, or incorporate the Software into another product or service. GitHub users may view the repository and use GitHub's built-in Fork functionality to the extent required by GitHub's terms.
3. Official binaries and paid use
During an offered trial, you may use the official binaries for evaluation under this EULA. After the trial, features may be limited unless you have an active paid plan. An individual plan is assigned to one person and may be activated on up to three devices. A Team plan requires one assigned seat per person, with up to three devices for each assigned person.
Business, professional, employment-related, revenue-generating, or other commercial use of either official binaries or self-built copies requires an applicable paid license unless the Licensor gives prior written permission.
4. Free personal self-build license
Subject to this EULA, the Licensor grants an individual a limited, revocable, non-exclusive, non-transferable license to copy, modify, and build the PATerminal-authored source code solely for that individual's own personal, non-commercial use.
This permission does not cover use for or on behalf of a company, employer, client, organization, team, paid project, commercial research, or service offered to another person. It also does not permit distribution of source archives, binaries, installers, or modified versions.
5. Restrictions
Except where applicable law expressly prevents the restriction, you must not:
- redistribute, publish, sell, rent, sublicense, transfer, or provide official binaries, self-built binaries, installers, source archives, or modified versions to another person;
- offer the Software or a modified version as a hosted, managed, embedded, white-label, or software-as-a-service product;
- share, sell, transfer, or misuse a license key, activation, account, or seat;
- circumvent or attempt to circumvent license validation, trial limits, activation limits, technical protection measures, or access controls;
- remove ownership, copyright, attribution, or third-party notices;
- use PATerminal names, logos, or branding in a way that suggests endorsement or an official build; or
- use the Software in violation of law or another person's rights.
6. Modifications and contributions
A permitted personal modification remains subject to this EULA and may not be presented as an official PATerminal release. No support, compatibility, signing, notarization, update service, or security maintenance is promised for a self-built or modified copy.
This EULA does not by itself grant the Licensor rights to use code you submit. Contributions are accepted only under the contributor terms stated in the public repository at the time of submission.
7. Updates and changes
The Licensor may provide, change, or discontinue updates, features, compatibility, or services. An update may require a newer effective EULA when material license terms change. Minor corrections that do not materially change rights may be published without requiring renewed acceptance, subject to applicable law.
8. Third-party software
The Software includes third-party open-source software and other materials governed by their own license notices. Those third-party licenses control the applicable third-party components, and this EULA does not reduce rights granted by them. Third-party notices should be reviewed with the Software and public repository.
9. Data and external tools
PATerminal runs shells, command-line agents, Git tools, and other programs selected by you. Those programs and services have their own terms and may access files, networks, credentials, or paid APIs. You are responsible for reviewing their actions and maintaining backups. PATerminal's own data processing is described in the Privacy Policy.
10. Term and termination
This EULA continues until terminated. Your rights under it end automatically if you materially breach it and do not cure a curable breach after notice and a reasonable opportunity to do so. On termination, you must stop using and delete copies for which your rights ended, except to the extent applicable law requires otherwise. Terms concerning ownership, restrictions, disclaimers, liability, and dispute resolution survive termination.
11. Disclaimer of warranties
To the maximum extent permitted by applicable law, the Software is provided "as is" and "as available" without express, implied, or statutory warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, or error-free operation. Nothing in this EULA excludes warranties or remedies that cannot lawfully be excluded.
12. Limitation of liability and consumer rights
To the maximum extent permitted by applicable law, the Licensor is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or loss of data, profits, revenue, business, or opportunity arising from the Software. Subject to non-excludable law, aggregate liability will not exceed the amount you paid for PATerminal during the twelve months before the event giving rise to the claim.
Nothing in this EULA limits liability for fraud, willful misconduct, gross negligence, death or personal injury where such liability cannot be limited, or any mandatory consumer right or remedy available in your jurisdiction.
13. Governing law, language, and contact
This EULA is governed by the laws of Japan, without regard to conflict-of-law principles, and disputes are subject to the courts of Japan, except where mandatory law gives you another forum or protection.
